King & Wood is often seen representing financial institutions on energy project financings or supporting energy firms on capital markets transactions.

This past year, the firm represented HSBC China and Bank of Communications as lenders’ counsel on the financing for the Baicheng Taobei-Baoshan Wind Farm Phase 1 Project to NBT (Baicheng) New Energy Development. The project signals the first time a typical non-recourse wind farm project finance has been undertaken in the PRC.

In a key capital markets mandate, King & Wood served as issuers’ counsel to China Mingyang Wind Power Group as it made its NYSE IPO in October 2010. The global offering of 25 million American Depository Shares raised total funds of US$350 million. The deal was the largest IPO by a Chinese company on the NYSE. Leading finance lawyers Ling Wang and Yongmei Cai often assist on energy related transactions, as do corporate partners Zaichi Hu and Carolyn Dong.

Guantao’s active M&A and capital markets practices have landed the firm a number of impressive energy and natural resource related mandates in the past year. In a recent M&A transaction, the firm represented Wah Nam International on a proposed offer for the complete share takeover of two ASX-listed iron ore developers. The firm also advised the company on a dual listing and offer of new shares on the ASX. In addition, Guantao advised several major companies on coal mine acquisitions in the natural resources sector.

Han Kun

Han Kun has been involved in the energy and natural resources sector this year through its work with private equity sponsors and energy companies. The firm recently represented Nobao Renewable Energy Holdings in relation to a US$100 million second round financing deal with private equity house Silver Lake. Nobao is known as a maker of PRC clean energy solutions that utilise ground source heat pump technology.
