Details: Julia was admitted as a solicitor in England & Wales in 1985 and has practised as a solicitor in Hong Kong since 1987. She is an experienced practitioner in the field of corporate finance, including mergers and acquisitions, private equity investment, securities, derivatives and funds. Julia has extensive experience of China work and is a Mandarin speaker. She has vast experience in private equity investment in the PRC, advising European, US and Hong Kong based funds on investment in a range of sectors including automotive, IT, manufacturing, biotech, resources, cement and lottery. Julia has worked with companies in the mining and minerals sectors on a variety of deals.

Julia advises regulators, financial institutions and listed companies on the listing rules of both the Main Board of The Stock Exchange of Hong Kong Limited and the Growth Enterprise Market. She is experienced in the fields of securities law, capital markets, private equity, M&A, investment funds, restructuring and regulatory issues.

Julia’s recent restructuring work includes advising a major bank in relation to the default of a borrower under certain pre-financing arrangements, advising two major banks jointly in relation to the default of various PRC borrowers under certain pre-financing arrangements and advising these banks on their rights under relevant insurance policies and other matters in relation to the cross-border enforcement of securities, advising on the pre-insolvency restructuring of an insurance business with substantial financial assistance issues, preference share refinancings, the restructuring of a hedge fund investment in a trading business with debt and equity components, advising an investment group on the restructuring of a private equity investment and advising a major financial institution on insurance related restructuring and advising a company listed on the main board of the Hong Kong Stock Exchange on its capital reorganisation, group reorganisation and restructuring of its indebtedness and liabilities by way of a scheme of arrangement involving a change of control.

Julia is a fellow of the Hong Kong Institute of Directors, a fellow of the Hong Kong Securities Institute, a member of the Takeovers Panel and the Takeovers Appeals Panel of the Hong Kong Securities and Futures Commission and a member of the Securities Law Committee of the Hong Kong Law Society. She was named the Hong Kong American Chamber of Commerce Women of Influence: Professional of the Year 2008.

It also received the “Legal Restructuring Deal of the Year” award in 2000 from the International Financial Law Review for its restructuring of Guangdong Enterprises. Charltons was a finalist for China Law & Practice’s “Deal of the Year (M&A)” 2007 for their work on Zjjin Mining Group Company Limited’s bid for Monterrico Metals plc., and for Asian Legal Business’s Equity Market Deal of the Year for their work on China High Speed Transmission Group Co.’s IPO.
