The firm is assisting an Asian development bank in the financing of a power plant complex in the north of Vietnam, notably structuring governmental guarantee commitments. In another transaction, the firm is advising an onshore foreign credit institution on three separate US$100 million secured offshore term loan credit facility arrangements to a state-owned commercial bank and a joint stock commercial bank.

The firm has advised corporations and investors on all types of transactions. For example, it acted for a leading European insurer in relation to the purchase of a minority shareholding in the second largest insurance company listed on the Ho Chi Minh City stock exchange. Another notable deal saw the firm act for a multinational on its purchase and subscription of a majority shareholding in a major aluminium extrusion facility.

Audier & Partners has a proactive approach to dispute resolution based on sound knowledge and experience of local and international litigation procedures. Given its background, the firm has strong connections with international companies, particularly French investors.

The past year has seen the team advising a French commodities company in its potential claim against the Vietnamese government pursuant to the bilateral investment treaty between Vietnam and France.

Another transaction involved advising a project management company in respect of a dispute with a project owner on the early termination of a construction management contract for a luxury hotel project.

Working alongside the firm’s corporate practice, the disputes team advised a client on its dispute with a Vietnamese company concerning the value of capital contribution made by the client on the establishment of a company.
