Energy & Natural Resources: The Almaty office assists energy companies to operate in the natural resource rich markets of Central Asia. The firm’s portfolio of energy clients includes some of the largest players in the CIS’ energy sector. Lawyers advise companies exploring and developing energy assets in Kazakhstan and neighbouring republics, and also assist with projects involving processing plants, pipelines, refineries and distribution. The Energy Practice provides advice on areas including subsoil licensing, joint ventures, employment, insurance, regulatory compliance, customs and tax rules.
Mining: Macleod Dixon represents clients across every aspect of a mining project, including participation in tenders and auctions, establishment of investment and corporate vehicles, applying for and obtaining certificates, approvals and permits, conducting due diligence of mining assets, direct and indirect acquisitions of mining properties, public offerings and listings of mineral properties.
Banking & Finance: A majority of the Almaty office’s work in the banking sector relates to debt and equity capital markets involving public and private placements. The banking/finance group advises on credits and loans, assignments and transfers, guarantees and various types of security involving multi-currency denominated and cross jurisdiction facilities. They are also experienced advisors in structured financings funded by multilateral organisations.
Mergers & Acquisitions: The Almaty office has an extensive record of handling public and private company takeovers, major corporate mergers and divestitures, debt and equity transactions, recapitalizations, consolidations, reverse takeovers, domestic and international equity offerings, auction bids and tenders. The firm is involved in acquisitions that range from banks, breweries, power plants, gold mines, petroleum and uranium properties and subsoil use rights. They frequently work with the Kazakhstan, London and Canadian TSX-Venture stock exchanges, assisting clients with initial due diligence and dealing with corporate, commercial matters and applicable regulatory approvals in Kazakhstan through to the acquisition.
