Mergers & Acquisitions: The firm’s M&A transactions range from small private acquisitions to cross-border takeovers of listed companies to hostile M&A. Recent significant M&A transactions include the acquisition of LG Nortel by Ericsson, the sale of SsangYong Motors to Mahindra&Mahindra, the acquisition of Solarfun Power Holdings by Hanhwa Chemical Corporation, the spin-off of the credit card business of Kookmin Bank and establishment of KB Kookmin Card and the acquisition of Hong Kong listed company, Times, Ltd. by Lotte Group, the largest investment in the PRC by a Korean Company.
Securities, Capital Markets, Banking: Shin & Kim advises its clients on all areas of banking, corporate finance, capital markets and derivatives, including equity and debt issues, IPOs, securitizations, structured finance, project finance and derivatives, as well as regulatory compliance work. We also advise many foreign asset management companies on the sale of mutual funds and other financial products in Korea.
Corporate and Commercial: The firm advises Korean and foreign clients on all aspects of general corporate and commercial law relating to their operations in Korea.
Antitrust and Competition: Shin & Kim advises firms in their dealings with the Korean Fair Trade Commission, including pre-notification of M&A transactions and KFTC investigations of unfair trade practices. Our team includes former KFTC officials.
Intellectual Property: Shin & Kim handles both contentious and non-contentious IP matters, including trademark, patent, copyright, trade secret and Internet domain name disputes. An integrated team of 33 lawyers and patent attorneys is supported by a staff of 55 specialists.
Labor: Shin & Kim deals with all aspects of labor and employment-related matters, including dismissal, severance pay, layoffs, corporate downsizing, workforce restructuring, compensation and benefit requirements, employee pensions, labor-management committees, employee transfer, visa, collective bargaining and labor union disputes and employment-related issues in M&A transactions. We also handle labor and employment-related litigation.
Litigation: Shin & Kim is recognized as one of the premier firms in Korea for litigation. The firm has been involved in many key litigations, recently including representation of KT&G and Samsung Group in landmark suits (the latter being the largest lawsuit ever filed in Korea).
International Dispute Resolution: Shin & Kim’s experienced arbitration practitioners represent the firm’s clients in large complex arbitrations all over the world and under the rules of all major arbitral institutions, including the ICC, SIAC, HKIAC, LCIA and KCAB.
Real Estate: The firm’s real estate team represents institutional lenders, developers, corporations and foreign investors in all real estate matters. We advise on commercial real estate purchase/sale transactions, leasing, and structuring and financing issues.
Tax: The firm’s tax team includes lawyers, CPAs and former officials of the National Tax Service, and advises clients on the full range of tax issues, from tax optimization in structuring M&As to tax audits, and to issues such as transfer pricing and permanent establishments.
